Terms of Service

Version 1.0 — Effective Date: August 18, 2026

These Terms of Service ("Terms") govern your access to and use of the Proactive Insight Health Platform™ (the "Platform"), operated by Proactive Insight Health Platform™, LLC ("Company," "we," "us"). By creating an account or using the Platform, you ("Subscriber," "you") agree to these Terms. Please also review our Wellness Platform Acknowledgment and Consent and our Privacy Policy, each of which is incorporated into these Terms by reference.

1. Description of the Platform

The Platform is a cash-pay subscription wellness information service.

The Platform is not a medical practice and does not provide medical advice, diagnosis, or treatment. Company is a technology and management company; clinical review of certain information you submit is performed by your assigned clinician, a licensed clinician associated with our independent clinical partner, Victory Health, LLC. Full detail is set out in the Wellness Platform Acknowledgment and Consent, which you must accept separately. No insurance, Medicare, or Medicaid billing is involved in any part of the Platform.

2. Eligibility

You must be at least 18 years old and a resident of a state in which the Platform is offered (currently Alabama) to create an account. By creating an account, you represent that you meet these requirements and that the information you provide is accurate and complete.

THE PLATFORM DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. INFORMATION AND GUIDANCE PROVIDED THROUGH THE PLATFORM ARE FOR GENERAL WELLNESS AND EDUCATIONAL PURPOSES ONLY AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE FROM YOUR OWN PHYSICIAN OR OTHER QUALIFIED HEALTHCARE PROVIDER. NO DOCTOR-PATIENT RELATIONSHIP IS FORMED THROUGH YOUR USE OF THE PLATFORM. NEVER DISREGARD, DELAY, OR DISCONTINUE MEDICAL TREATMENT BECAUSE OF SOMETHING YOU HAVE READ OR RECEIVED ON THE PLATFORM.

THE PLATFORM IS NOT FOR EMERGENCY USE. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911. IF YOU ARE IN A MENTAL HEALTH CRISIS OR HAVING THOUGHTS OF SELF-HARM, CALL OR TEXT 988.

7. Intellectual Property

The Platform, including its software, design, content, and trademarks, is owned by Company or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal wellness purposes. You retain no rights in the Platform itself. Your rights with respect to your own health information are addressed in our Privacy Policy.

8. Third-Party Services

The Platform links to or facilitates access to services provided by third parties, including Fullscript (laboratory ordering, fulfillment, and supplement purchases for Subscribers) and laboratory networks such as Quest Diagnostics and LabCorp (specimen collection). Your use of those services is governed by their own terms, and Company is not a party to, and is not responsible for, transactions you enter into with those third parties.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY FOR CLINICAL CARE, WHICH IS THE SOLE RESPONSIBILITY OF THE MEDICAL GROUP AND ITS CLINICIANS, NOT COMPANY.

11. Indemnification

You agree to indemnify and hold Company harmless from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Platform.

12. Term, Termination, and Suspension

These Terms remain in effect while you use the Platform. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to Company, the Medical Group, or other users. You may stop using the Platform and cancel your subscription at any time.

13. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you and, consistent with our consent management practices, may require you to review and accept the updated Terms before continuing to use certain features of the Platform.

14. Governing Law; Disputes

These Terms shall be construed in accordance with the law of the State of Alabama without regard to choice of law principles. Any dispute arising under or relating to these Terms, directly or indirectly, shall be brought and heard exclusively by state or federal courts located in the Northern District of Alabama and appropriate appellate courts, and the parties consent to such jurisdiction.

15. Remedies

In the event of a breach or a threatened breach of any provision of these Terms, Company shall be entitled to seek damages, if determinable, and at the option of Company, injunctive relief. In addition, Company shall be entitled to all reasonable attorneys' fees incurred in the enforcement of these Terms.
